2.2. While Backer Launch endeavors to provide high-quality Services, we do not guarantee any specific results, audience reach, pledges, or media exposure unless explicitly stated otherwise.

3. Content and Client Responsibilities

3.1. The Client is responsible for providing accurate, complete, and truthful information and materials for Backer Launch to use in any Services. Backer Launch is not liable for any outcomes or errors stemming from inaccurate or incomplete information provided by the Client.

3.2. The Client grants Backer Launch a non-exclusive, royalty-free license to use any content, logos, or other materials submitted by the Client for promotional purposes related to the Services.

4. Intellectual Property

4.1. All content on the Backer Launch website, including text, images, logos, and designs, is the intellectual property of Backer Launch or its licensors. Unauthorized use of this content is prohibited.

4.2. Clients retain ownership of their own content and materials provided to Backer Launch but grant Backer Launch the rights specified in Section 3.2 for the purpose of delivering Services.

5. Payments and Refunds

5.1. Payment for all Services is required in advance, as specified in the Service Agreement.

5.2. Refunds are provided solely at Backer Launch's discretion, except where explicitly stated in the individual Service Agreement.

5.3. Certain services, including but not limited to press release and newsletter promotions, may be eligible for a 1:1 guarantee as outlined in the Service Agreement. All guarantee terms are determined by Backer Launch and stated in the specific agreement.

6. Disclaimer of Warranties

6.1. Backer Launch provides Services on an "as-is" and "as-available" basis. To the fullest extent permitted by law, Backer Launch disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2. Backer Launch does not guarantee uninterrupted or error-free access to the website or Services and reserves the right to make updates, improvements, or temporary suspensions for maintenance at any time.

7. Limitation of Liability

7.1. Backer Launch is not liable for any indirect, incidental, special, or consequential damages arising from the use of Services, including but not limited to loss of profits, revenue, or business opportunities.

7.2. Backer Launch's total liability for any claim related to Services will not exceed the amount paid by the Client for the specific Service giving rise to the claim.

8. Indemnification

8.1. The Client agrees to indemnify and hold Backer Launch harmless from any claims, damages, losses, or legal actions arising from the Client’s use of Services or any content provided by the Client, including claims of defamation, false advertising, intellectual property infringement, or legal violations.

9. Third-Party Links and Content

9.1. The Backer Launch website may contain links to third-party sites or content not controlled by Backer Launch. We are not responsible for the accuracy, content, or policies of these third-party websites.

10. Modifications to Terms

10.1. Backer Launch reserves the right to modify these Terms at any time. Any changes will be posted on the website and will take effect immediately. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

11. Governing Law

11.1. These Terms are governed by the laws of Texas, without regard to its conflict of law principles. Any disputes arising from these Terms will be resolved through binding arbitration in Austin, Texas, in accordance with the American Arbitration Association’s rules.
